These Terms and Conditions govern access to and use of the BloomBizz website, directory, academy, and related services (together, the “Platform”). By accessing, browsing, creating an account, submitting content, listing a business, uploading courses, leaving reviews, or otherwise using the Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Platform.

1. About Us

BloomBizz (“we”, “us”, “our”) operates an online platform which may include, without limitation:

· a business directory;

· an educational or training area known as the BloomBizz Academy;

· reviews, ratings, badges, awards, listings, profiles, and related community features.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to create an account, list a business, upload courses, or use any monetised features of the Platform.

By using the Platform on behalf of a business or organisation, you confirm that you have authority to bind that business or organisation to these Terms.

3. Account Registration

You agree to provide accurate, current, and complete information when creating an account or submitting a business listing. You are responsible for:

· maintaining the confidentiality of your account credentials;

· all activity carried out under your account;

· ensuring your account details remain accurate and up to date.

We reserve the right to suspend, restrict, or terminate accounts that contain false, misleading, incomplete, or deceptive information.

4. Directory Listings

Businesses may apply to be listed in the BloomBizz directory subject to our approval criteria.

Submission of a business to the directory does not guarantee acceptance, continued inclusion, visibility, ranking, or promotion. We reserve the right, at our sole discretion, to:

· accept or reject any directory application;

· edit, reclassify, suspend, or remove any listing;

· remove businesses from the directory at any time, with or without notice, where we believe such action is necessary to protect the integrity, quality, safety, reputation, or lawful operation of the Platform.

We are under no obligation to provide reasons for refusing or removing a listing, although we may do so where appropriate.

5. User Content

Users may submit or upload content to the Platform, including business information, reviews, profile content, course materials, comments, text, images, videos, and other materials (“User Content”).

You remain the owner of your User Content, but by submitting it to the Platform you grant us a worldwide, non-exclusive, royalty-free, transferable licence to host, store, reproduce, adapt, publish, display, distribute, moderate, promote, and otherwise use that content for the operation, improvement, marketing, and administration of the Platform.

You confirm that:

· you own or control all rights necessary to submit the User Content;

· your User Content is accurate where it states facts;

· your User Content does not infringe the rights of any third party;

· your User Content complies with these Terms and all applicable laws.

6. Prohibited Content and Conduct

You must not use the Platform to upload, post, transmit, distribute, or otherwise make available any content that:

· is unlawful, defamatory, abusive, threatening, harassing, hateful, discriminatory, obscene, or offensive;

· contains harmful, malicious, deceptive, or fraudulent statements;

· infringes intellectual property, privacy, confidentiality, or other rights;

· contains spam, misleading promotions, impersonation, or fake engagement;

· promotes violence, hate speech, or harmful language;

· is intended to damage the reputation of another person or business unfairly;

· contains malware, malicious code, or any harmful technical component.

We reserve the right to remove any content and to suspend or ban accounts where, in our opinion, users engage in harmful language, abusive conduct, harassment, fraudulent activity, manipulation, or behaviour that risks harm to users, businesses, tutors, or the Platform.

7. Reviews and Ratings

Users may be permitted to leave reviews and ratings for businesses or other services listed on the Platform.

All reviews must be:

· honest;

· based on genuine experience where applicable;

· fair and not misleading;

· free from abusive, defamatory, discriminatory, or malicious language;

· not submitted in exchange for undisclosed incentives or improper influence.

We reserve the right, at our sole discretion, to moderate, reject, edit, unpublish, or remove reviews at any time where we suspect that a review is:

· false, fraudulent, manipulated, or inauthentic;

· unfairly biased or malicious;

· posted in breach of these Terms;

· unlawful or potentially defamatory.

This right applies to both positive and negative reviews. We may also suspend review functionality for any user or listing where misuse is suspected.

8. BloomBizz Academy

The BloomBizz Academy allows approved users, tutors, or contributors to upload educational, training, or informational content.

8.1 Tutor Responsibilities

Tutors and contributors are solely responsible for the content they upload. By uploading content to the BloomBizz Academy, tutors confirm that their content:

· is accurate to the best of their knowledge;

· is lawful and suitable for publication;

· does not infringe third-party rights;

· does not contain offensive, abusive, harmful, discriminatory, or misleading material;

· complies with these Terms, our content standards, and any Academy-specific guidance.

Tutors are responsible for ensuring their materials are “clean content,” meaning content that is professional, lawful, appropriately presented, and free from prohibited material under these Terms.

8.2 Right to Upload and Use Academy Content

By uploading content to the BloomBizz Academy, tutors grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, distribute, display, market, promote, and make available that content through the Platform.

We reserve the right to review, refuse, remove, suspend, or restrict Academy content at any time where we believe it breaches these Terms, creates legal or reputational risk, or falls below our required standards.

Where course content is monetised through the Platform, BloomBizz reserves the right to retain 20% of gross earnings generated from courses uploaded to the BloomBizz Academy, unless otherwise agreed in writing.

The remaining balance, less any applicable taxes, fees, refunds, chargebacks, payment processor costs, or other agreed deductions, shall be payable to the tutor in accordance with our payout procedures.

We reserve the right to withhold or adjust payouts where:

· refunds or chargebacks arise;

· fraud is suspected;

· the tutor breaches these Terms;

· there is a dispute relating to ownership, legality, or quality of uploaded content.

9. Badges and Awards

From time to time, BloomBizz may issue badges, seals, labels, certificates, awards, or other forms of recognition to selected users, businesses, or tutors.

Such badges and awards:

· remain our intellectual property unless expressly stated otherwise;

· may only be displayed by the person or business to whom they were officially awarded;

· must not be copied, modified, misrepresented, duplicated, redistributed, sold, sublicensed, or used in a misleading way;

· must not be displayed after expiry, revocation, suspension, or removal of the relevant award or status.

Any unauthorised duplication, imitation, misuse, or false representation of BloomBizz badges or awards may result in removal from the Platform, suspension or termination of accounts, legal action, and public correction where appropriate.

We reserve the right to revoke badges and awards at our discretion, including where eligibility changes or misuse is identified.

10. Intellectual Property

All intellectual property rights in the Platform, including our name, branding, logos, text, graphics, software, design, layout, badges, awards, and site content, are owned by or licensed to BloomBizz unless otherwise stated.

You may not copy, reproduce, distribute, modify, scrape, republish, reverse engineer, or exploit any part of the Platform without our prior written consent, except as permitted by law.

11. Privacy and Data Protection

We process personal data in accordance with our Privacy Policy. By using the Platform, you acknowledge that personal data may be collected, used, stored, and shared as described in that policy.

You must ensure that any personal data you upload, submit, or process through the Platform is handled lawfully and that you have any required permissions, notices, or lawful basis to provide that data.

12. Moderation and Enforcement

We reserve the right, but not the obligation, to monitor listings, reviews, Academy uploads, profiles, and other content for compliance with these Terms.

We may take any action we reasonably consider necessary, including:

· removing or editing content;

· restricting visibility;

· suspending features;

· withholding payouts;

· issuing warnings;

· suspending or terminating accounts;

· removing directory listings;

· reporting unlawful conduct to relevant authorities.

13. No Guarantee of Availability or Results

We do not guarantee uninterrupted access to the Platform, error-free operation, specific listing visibility, user engagement, review volume, course sales, or commercial results.

We may modify, suspend, withdraw, or discontinue any part of the Platform at any time.

14. Disclaimers

The Platform may contain user-generated content, reviews, educational material, and business information. We do not guarantee the accuracy, completeness, legality, or reliability of user-submitted content.

Any reliance placed on content available through the Platform is at your own risk.

Educational content in the BloomBizz Academy is provided for general informational purposes unless expressly stated otherwise and should not be treated as legal, financial, medical, or other regulated professional advice.

15. Limitation of Liability

To the fullest extent permitted by law, BloomBizz shall not be liable for any indirect, incidental, special, consequential, or loss of profit, revenue, business, goodwill, data, or opportunity arising out of or in connection with use of the Platform.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded under applicable law.

16. Indemnity

You agree to indemnify and hold harmless BloomBizz, its owners, officers, affiliates, contractors, and representatives from and against any claims, liabilities, losses, damages, costs, and expenses arising out of:

· your breach of these Terms;

· your User Content;

· your misuse of the Platform;

· your infringement of any third-party rights;

· any dispute between you and another user, customer, business, or tutor.

17. Suspension and Termination

We may suspend, restrict, or terminate access to the Platform, remove listings, remove content, revoke badges, or disable monetisation features immediately and at our discretion where we believe there has been:

· a breach of these Terms;

· harmful or abusive conduct;

· fraudulent, misleading, or unlawful behaviour;

· misuse of reviews, badges, awards, listings, or Academy content;

· reputational or legal risk to BloomBizz or its users.

18. Changes to These Terms

We may update these Terms from time to time. Updated Terms will take effect when posted on the Platform unless otherwise stated. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, unless applicable law requires otherwise.
